Terms of Service

GateCtr provides a middleware gateway for LLM API calls. The service includes: request routing to LLM providers (OpenAI, Anthropic, Mistral, Gemini), budget enforcement and alerting, prompt compression via the Context Optimizer, usage analytics and reporting, and webhook notifications. GateCtr acts as a transparent proxy. We do not store the content of your prompts or LLM responses. We are not responsible for the output, accuracy, or availability of any LLM provider.

To use GateCtr, you must:

• Be at least 18 years old or have the legal capacity to enter into contracts in your jurisdiction.
• Provide accurate and complete information when creating your account.
• Comply with the terms of service of any LLM provider you connect through GateCtr.

You are solely responsible for:

• Maintaining the confidentiality of your account credentials and API keys.
• All activity that occurs under your account, including usage by team members.
• Ensuring your use of GateCtr complies with applicable laws and regulations.
• Promptly notifying us at security@gatectr.com if you suspect unauthorized access to your account.

You agree not to use GateCtr to:

• Violate any applicable law, regulation, or third-party rights.
• Circumvent rate limits, abuse the service, or attempt to gain unauthorized access to our systems.
• Resell or sublicense access to GateCtr without our written consent.

GateCtr does not charge for tokens — you pay your LLM provider directly using your own API key. GateCtr charges for access to the platform (routing, optimization, analytics). Paid plans are billed monthly or annually via Stripe. Prices are displayed inclusive of all applicable taxes. Upgrades take effect immediately. Downgrades and cancellations take effect at the end of the current billing period. We do not offer refunds except where required by law or at our sole discretion. For billing disputes, contact billing@gatectr.com within 30 days of the charge.

GateCtr and its content, features, and functionality are owned by GateCtr SAS and are protected by intellectual property laws. You retain all rights to your data, prompts, and API keys. By using GateCtr, you grant us a limited license to process your data solely to provide the service.

• You may not copy, modify, or distribute GateCtr's software without our written consent.
• You may not reverse-engineer or attempt to extract the source code of GateCtr.
• The GateCtr name, logo, and trademarks may not be used without our prior written permission.

We target 99.9% uptime for paid plans (Pro, Team, Enterprise). We do not guarantee uninterrupted service. Scheduled maintenance will be announced at least 24 hours in advance via status.gatectr.com. We are not liable for losses caused by service interruptions, including unexpected LLM costs incurred during downtime.

To the maximum extent permitted by applicable law, GateCtr SAS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: unexpected LLM provider costs, loss of data, loss of revenue, or business interruption. Our total liability to you for any claim arising from these terms or your use of the service shall not exceed the amount you paid to GateCtr in the 12 months preceding the claim.

You may terminate your account at any time from Settings → Account. We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or fail to pay amounts owed. Upon termination, your data will be retained for 30 days before deletion, during which you may export it from the dashboard.

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the federal and state courts located in Delaware, United States, unless otherwise required by applicable consumer protection law in your jurisdiction.
